Gerry has specific expertise in corporate transactions and taxation. His clients range from utilities, hospitals and telecos to industry superannuation funds and investors in infrastructure.
He undertakes a broad range of merger and acquisition transactions, joint ventures, major projects and electricity and gas contracts. He advises on a range of issues including structuring transactions and acquisitions, due diligence, drafting and negotiating agreements, compliance with Corporations Act requirements and liaising with regulatory bodies.
Gerry has undertaken and performed key roles in a number of large and complex transactions. This includes undertaking and supervising of due diligence investigations, preparation of project plans, reporting and the management of legal project teams and negotiation of acquisition agreements.
Gerry also has significant expertise in structuring and taxation including income tax/CGT, GST, and stamp duty. He has managed tax audits, obtained rulings, undertaken tax litigation and negotiation of settlements with the Australian Taxation Office. He also has a significant pro-bono practice assisting the not-for-profit sector and often deals with their governance, DGR and ITEC issues.
