Alastair advises on a wide array of corporate and commercial matters, including governance and structuring issues, directors' and officers' duties, general Corporations Act advice and general commercial contracting.
Alastair provides governance training to a broad range of private, public and NFP sector entities and regularly advises on officer protection arrangements and board representation arrangements.
He has also assisted in drafting, amending and replacing constituent documents for numerous clients, including constitutions, shareholders' agreements and members' agreements, and regularly drafts and negotiates subscription agreements and joint venture agreements, including coordinating preparatory due diligence and disclosure.
Alastair's broad-based commercial practice extends across a number of sectors, including insurance and financial services, energy, construction, property, water, government, health and education. Alastair's recent experience includes:
- Advising Orchard Capital Investments Ltd as responsible entity for the Orchard Primary Infrastructure Fund in respect of the release of various lease guarantees and several related transactions.
- Advising the Victorian Department of Innovation, Industry and Regional Development in relation to the structuring and governance arrangements for the Australian Synchrotron, and preparing and negotiating a number of key documents, and advising Australian Synchrotron Company Limited and Australian Synchrotron Holding Company Pty Ltd in relation to funding, operational and general corporate matters.
- Advising a mid-tier construction company on its joint venture arrangements with a top-tier entity, in addition to advising on the company's internal governance arrangements and drafting its shareholders' agreement.
- Advising various participants in the health sector in relation to a number of reform proposals, including with respect to governance and structuring issues, stakeholder engagement and representation, transitioning issues and due diligence requirements.
- Advising a leading industry superannuation fund in relation to its nominee directorship arrangements for key investments, including drafting terms of engagement and related governance and officer protection documentation.
- Advising a technology commercialisation company with respect to its international joint venture arrangements regarding carbon management technology.
